MaxLiveChat.com is owned and operated by Maxipoint Ltd., 3422 Old Capitol Trail, Suite 143, Wilmington, DE 19808, USA. This agreement explains the terms and conditions regarding the use of MaxLiveChat.com Services and any other content available on the MaxLiveChat.com website. This is an agreement between Maxipoint Ltd., hereinafter called MaxLiveChat.com and 'you', hereinafter called Member.

1. Live Chat Service
MaxLiveChat.com managed live chat is a service where MaxLiveChat.com employees 0-24h, 365 days answer all Member's visitor questions on behalf of the Member.

2. Live Chat versions of services and fees
MaxLiveChat.com offers Standard Edition, Pro Edition, Multilingual Edition and Multilingual Pro Edition Live Chat service. Detailed description versions and prices is available for viewing at any time on the MaxLiveChat.com website: http://www.MaxLiveChat.com/services.html

3. Payment and termination conditions
Members pay only minutes that they use with MaxLiveChat service. Member must buy $99.00 blocks of service in advance. Member can buy any number of $99.00 blocks of time of managed live chat service.

To access and use any MaxLiveChat.com services, Member agrees to pay all fees related to your chosen level of MaxLiveChat.com service on a timely basis. All fees are due immediately and are nonrefundable.

4. Website content by all members
Members may only publish legal content and engage in legal activity through MaxLiveChat.com Services.

If MaxLiveChat.com becomes aware that a Member's website content is not legal, MaxLiveChat.com will immediately cancel the Member's service.

MaxLiveChat.com is not responsible for illegal websites.

5. Unsolicited email delivery/spam
MaxLiveChat.com does not tolerate spam. Spam violations will result in immediate account cancellation and may result in action taken by MaxLiveChat.com against Member in a Court of Law.

6. Privacy Policy
The MaxLiveChat.com Privacy Policy respects the collection and safe use of Members' personal information.

7. Limitation of liability
MaxLiveChat.com has no responsibility to any Member or third parties for any data loss, damages, omissions, interruptions, mistakes, errors, defects, delays in operation or transmission, viruses in the server or any failure of MaxLiveChat.com's computer equipment and will bear no responsibility express or implied for any expenses that may arise in such cases.

8. Changing of services and terms and conditions
MaxLiveChat.com reserves the right to add to or change MaxLiveChat.com services and/or terms and conditions.
MaxLiveChat.com shall have the right at any time to add, change or modify MaxLiveChat.com services and/or the terms and conditions governing the use of MaxLiveChat.com's service. All members will be informed of any changes or modifications by email immediately.

9. Age of Member
MaxLiveChat.com will not enter into agreements and accept payments from persons under the legal age of 18 years. MaxLiveChat.com requires that agreements be made with persons who are 18 or more years of age and who are legally qualified to enter into a binding contract.

10. Modification of agreement
Member agrees that MaxLiveChat.com may revise the terms and conditions of this agreement and change the services provided under this agreement. Members will be notified immediately by email of any change or revision.

11. Cancellation of the agreement
MaxLiveChat.com reserve the right to terminate any service to Member immediately and without notice for cause, in the event that Member breaches this agreement. Member has the right to cancel this agreement at any time. This agreement is valid as long as Members's service is active.

12. Law which is applicable
This agreement shall be interpreted and applicable by the law and judgment of the State of Delaware, USA.
